David Maxwell

David, a seasoned legal practitioner, brings extensive expertise to the table with his rich background in international transactions. Graduating from the University of New Brunswick with a Bachelor of Laws in 1992 and Mount Allison University with a Bachelor of Commerce in 1989, David's legal journey spans over three decades, with bar admissions in Alberta in 1993 and England and Wales in 2004 (non-practicing).

Throughout his career, David has honed his skills across various industries, including construction, oil and gas, power, real estate, and renewables and energy transition. His practice areas cover a wide spectrum of business law, from commercial agreements and corporate reorganizations to joint ventures and private equity.

A significant portion of David's practice revolves around international and cross-border transactions. He specializes in structuring and executing share and asset acquisitions, mergers, financings, and other strategic business transactions involving diverse stakeholders such as strategic investors, vendors, and private equity funds.

David's expertise also extends to the formation and organization of corporations, partnerships, special purpose vehicles, joint ventures, and other co-ownership structures. He excels in drafting and negotiating corporate and commercial contracts, handling corporate governance matters, and providing strategic advice on project management, family enterprise matters, and succession planning.

Before joining BD&P in 2004, David gained valuable experience working in the corporate department of a prestigious law firm based in London, UK, where he focused on international and cross-border commercial transactions.

David's notable representative work includes advising Dow Chemical Canada ULC on its groundbreaking "Path2Zero Project" to build the world's first net-zero emissions integrated ethylene cracker and derivatives facility in Fort Saskatchewan, Alberta. He also represented the Graham Group of Companies in the acquisition of AECOM's Energy Operations and Maintenance Division, positioning them as a major player in Canada's construction and industrial services sectors.

In addition, David has counseled clients on significant acquisitions, such as Greenfire Acquisition Corporation's acquisition of Japan Canada Oil Sands Limited and Peloton's acquisition of Cevian Technologies, demonstrating his versatility and expertise in navigating complex transactional landscapes.

David's professional involvement extends to memberships in various legal associations, including the Law Society of Alberta, the Law Society of England and Wales (non-practicing), the Canadian Bar Association, and the Calgary Bar Association.
