Brooke Miskiman

Brooke, a seasoned practitioner in the realm of corporate and securities law, lends her expertise to a broad array of clients. These include both public and private entities as well as financial institutions. Her advisory role spans a multitude of transactional activities such as mergers and acquisitions and financing operations, both public and private. Furthermore, she offers guidance on issues related to corporate governance, the drafting of commercial agreements, compliance with securities regulations, stock exchange protocols, and the broader spectrum of corporate and commercial legislation.

Before her tenure at Blakes, Brooke honed her skills within the business law department of a globally recognized law firm, where she initially served as an articling student before ascending to a practicing attorney.

Throughout her career, Brooke has played a pivotal role in several high-profile transactions. She was instrumental in guiding a syndicate of underwriters through the C$150-million IPO of Lithium Royalty Corp. Her expertise also facilitated GeoComply Solutions Inc.'s strategic acquisition of OneComply Inc., enhancing its footprint in the online security and compliance arena. Brooke's acumen in finance was evident in her advisory to Ero Copper Corp. during their public offering, which successfully raised around US$111 million through the sale of common shares across major stock exchanges.

Her involvement extended to advising the Special Committee of PODA Holdings Inc. in a significant US$100.5 million transaction with Altria Client Services LLC. Furthermore, Brooke played a key role in a US$92.1 million financing project for underwriters, expanding Sandstorm’s financial base through a strategic prospectus supplement. She also advised New Found Gold Corp. on its innovative "at-the-market" offering strategy, aiming to raise up to US$100 million.

Brooke's expertise in mergers and acquisitions was further showcased in her work with Great Bear Royalties Corp., facilitating a C$200-million deal with International Royalty Corporation, under Royal Gold, Inc. Additionally, her advisory services were sought by Mama Earth Organics Inc. during its acquisition by Fresh City Farms, Inc., highlighting her versatility across various sectors. Brooke's strategic counsel also supported Pacific Woodtech Corporation in its acquisition endeavors, particularly in relation to Louisiana-Pacific Corporation's EWP division.

Her academic background is as distinguished as her professional career, having been admitted to both the British Columbia and Alberta Bars in 2021. Brooke's legal acumen was shaped at the University of Calgary's Faculty of Law, where she distinguished herself on the Dean's List, and complemented by a solid foundation in commerce, graduating With Distinction from the Haskayne School of Business.
