Jay Hoffman

Jay Hoffman leads the Business Law Group as its Chair and plays a crucial role on the firm's Executive Committee. Before ascending to this position, he spearheaded the National Corporate, Mergers and Acquisitions, and Securities Practice. With a career spanning over two decades, Jay has become a beacon of expertise in mergers and acquisitions and capital markets transactions, alongside offering seasoned advice on corporate governance.

His clientele is diverse, encompassing both local and global corporations, independent board committees, financial advisers, and private equity funds. Jay's involvement ranges from overseeing acquisitions and divestitures to navigating proxy battles and corporate restructurings. He is also well-versed in managing securities offerings, serving both issuers and underwriters within the domestic and international arenas.

Jay's proficiency extends to structured financial products, notably representing noteholders in the significant restructuring of Canada's $32 billion market for structured asset-backed commercial paper in 2007 and 2008. His counsel has proven invaluable in shareholder disputes and governance, as well as succession planning for family-owned and closely held companies.

His transactional experience covers a broad spectrum of industries, including mining, real estate, technology, manufacturing, and healthcare, to name a few. Jay's early career involved a secondment to the Ontario Securities Commission's Corporate Finance Division, contributing to capital market regulations and policy development, particularly concerning derivative securities.

Beyond his practice, Jay is deeply committed to legal education, regularly engaging in speaking engagements and teaching securities law at prestigious law schools across Canada. His academic contributions underscore his dedication to nurturing the next generation of legal professionals.

Admitted to the Ontario bar in 1987, Jay's educational background includes an LL.B. and an MBA from the University of Windsor, coupled with a B.Sc. from the University of Toronto. This foundation has not only equipped him with a profound understanding of law but also an acute business acumen, positioning him as a leading figure in business law.
