Alethea Au

Alethea Au, a key partner within the Mergers & Acquisitions Group with a special focus on technology firms, provides comprehensive legal guidance to a varied clientele. This includes private equity funds, strategic corporate purchasers, and founding individuals across multiple sectors. Her proficiency spans the full spectrum of M&A activities such as deal structuring, risk management, divestitures, and both minority and majority stake investments, alongside leveraging representation and warranty insurance for transactional and transitional matters.

Alethea's expertise isn't confined to mergers and acquisitions alone. She possesses a broad knowledge base in corporate commercial issues, especially those related to information technology. This includes areas like tech development and commercialization, e-commerce strategies, licensing agreements, joint ventures, business process outsourcing, and general corporate governance. Her industry experience is extensive, covering financial services, insurance, retail, telecommunications, and software services, among others.

Her dual focus on M&A and technology positions Alethea as a pivotal advisor, offering clients valuable, practical, and time-efficient counsel in both transactional and ongoing corporate matters, particularly within the tech domain.

In terms of professional affiliations, Alethea is actively involved with several legal associations including the Law Society of Ontario, the Canadian Bar Association, and the Ontario Bar Association. She's also engaged with the American Bar Association, the International Technology Law Association, the Federation of Chinese Canadian Professionals, and the Canadian Advanced Technology Alliance's Women in Technology Toronto Chapter. Between 2016 and 2019, Alethea enriched legal education as an Adjunct Professor at Osgoode Hall Law School.

Alethea's legal education was completed at Osgoode Hall Law School, alongside a Master's in Business Administration from the Schulich School of Business, and she holds an Honours Bachelor of Arts from McGill University. Since her admission to the Ontario Bar in 2004, Alethea has been involved in several notable transactions. These include AGF Management Limited's strategic move to secure a 51% stake in Kensington Capital Partners Limited, American Pacific Group's C$140M acquisition of Spark Power Group Inc., and a significant acquisition by a large US tech company of a Canadian payment solutions provider for a sum exceeding $100M.
